Agreement to Terms

These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Galleried, LLP (“Galleried,” “we,” “us,” or “our”) concerning your access to and use of the Galleried website, mobile application, account services, communications, AI-assisted features, and related offerings (collectively, the “Services”).

By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with all of these Terms and Conditions, you are prohibited from using the Services and must discontinue use immediately.

Supplemental terms, conditions, guidelines, or documents that may be posted or made available through the Services are incorporated into these Terms and Conditions by reference. We may update these Terms and Conditions from time to time by updating the “Last updated” date or providing other notice as appropriate.

Your continued use of the Services after updated Terms and Conditions are posted means you accept the updated Terms and Conditions. The Services are intended for users who can access and use them in compliance with applicable law.

Services and Accounts

Galleried helps collectors identify, organize, value, document, and showcase collectibles and collections. The Services may include websites, mobile applications, account tools, upload and storage features, AI-assisted identification, estimated valuation tools, collection management, memory or note features, communications, beta features, and related services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information and to update it when necessary. We may suspend or terminate access if we believe your account information is inaccurate, your account has been compromised, or your use violates these Terms and Conditions.

Intellectual Property Rights

Unless otherwise indicated, the Services, including source code, databases, functionality, software, website designs, mobile app interfaces, audio, video, text, photographs, graphics, trademarks, service marks, and logos, are owned by us, controlled by us, or licensed to us and are protected by intellectual property and unfair competition laws.

The Services and our content are provided for your personal, non-commercial use unless we expressly authorize another use. No part of the Services or our content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission.

Subject to these Terms and Conditions, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal use.

User Content and Ownership

You retain ownership of the data, images, audio, notes, descriptions, collection details, memories, and other content that you submit, upload, store, or otherwise provide through the Services (“User Content”). These Terms and Conditions do not transfer ownership of your User Content to Galleried.

You grant Galleried a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, transmit, display, modify, format, and create technical or functional derivatives of your User Content as needed to operate, maintain, secure, support, improve, and provide the Services, including user-directed sharing, collection display, AI-assisted identification, valuation features, and customer support.

This license includes the right for Galleried to use User Content, including images and related metadata, to develop, test, train, tune, evaluate, and improve Galleried models, algorithms, and product features. Galleried does not sell your User Content or use it for unrelated third-party advertising.

We may provide User Content to third-party service providers, including AI service providers, to process it on our behalf and provide the Services. Where commercially reasonable, we use providers that process User Content under business or API terms that do not permit them to use User Content to train their own models unless we have enabled that use, you have consented to it, or it is otherwise disclosed to you.

You represent that you have all rights necessary to provide User Content to the Services and to grant the license above. You agree that your User Content will not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights of any third party. We may remove or restrict User Content if we believe it violates these Terms and Conditions or applicable law.

AI Features and Valuations

The Services may use automated systems, AI models, third-party data, market data, user-provided information, and uploaded media to generate collectible identification, descriptions, condition observations, estimated market values, confidence levels, insights, and related outputs. These outputs are provided for informational and organizational purposes only.

AI-assisted outputs may be incomplete, inaccurate, outdated, or inappropriate for your circumstances. Galleried does not guarantee that any identification, valuation, authenticity assessment, condition observation, market factor, or recommendation is accurate or complete.

The Services do not provide professional appraisals, authentication, financial advice, investment advice, tax advice, legal advice, insurance advice, lending advice, estate planning advice, or other regulated professional services. You should not rely on the Services as the sole basis for purchase, sale, insurance, lending, tax, estate, legal, or other financial decisions. You are responsible for independently verifying information before making decisions about your collectibles or collections.

Memberships, Limits, and Payments

Some Services may be offered through memberships, tiers, limits, beta access, paid features, or other plan-based offerings. We may change, suspend, limit, or discontinue features, tiers, quotas, usage limits, pricing, or availability at any time, subject to applicable law and any supplemental terms that apply.

If paid features are made available through an app store, payment processor, or other third-party platform, your purchase, renewal, cancellation, refund, taxes, and billing terms may also be governed by that platform's terms. Unless otherwise stated in supplemental terms, refunds and cancellations for third-party platform purchases must be handled through the applicable platform.

Third-Party Services and Beta Features

The Services may rely on or link to third-party services, platforms, app stores, payment processors, analytics providers, communications tools, hosting providers, AI providers, market-data sources, insurance providers, lending partners, estate planning providers, or other partners. We are not responsible for third-party services, and your use of those services may be subject to separate terms and policies.

We may offer beta, preview, early access, experimental, or limited-availability features. These features may change, break, produce unexpected results, or be discontinued at any time.

User Representations

By using the Services, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete;
• You will maintain the accuracy of such information and promptly update it as necessary;
• You have the legal capacity and authority to agree to these Terms and Conditions;
• You are not under the age of 13;
• You will not access the Services through automated or non-human means except as expressly permitted by us;
• You will not use the Services for any illegal or unauthorized purpose;
• Your use of the Services will not violate any applicable law or regulation.

Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

• Systematically retrieve, scrape, crawl, copy, harvest, or aggregate data or content from the Services without written permission from us.
• Make unauthorized use of the Services, including collecting usernames, email addresses, collection information, images, valuations, or other user data.
• Upload, submit, or share content that is unlawful, infringing, misleading, harmful, defamatory, invasive of privacy, or otherwise objectionable.
• Misrepresent ownership, authenticity, provenance, condition, value, or rights related to any collectible, collection, or User Content.
• Use the Services, AI outputs, valuations, or collection information for regulated financial, insurance, lending, tax, legal, estate, appraisal, authentication, or professional decisions without independent qualified advice.
• Abuse, overload, bypass, manipulate, or interfere with AI features, rate limits, membership limits, quotas, security controls, or access restrictions.
• Reverse engineer, decompile, disassemble, modify, or create derivative works of the Services except to the extent applicable law prohibits this restriction.
• Probe, scan, test, compromise, or circumvent the security, authentication, integrity, or performance of the Services or any related systems.
• Trick, defraud, mislead, harass, or harm us or other users.
• Interfere with, disrupt, or create an undue burden on the Services or the networks, systems, or services connected to the Services.

Account Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time if we believe you have violated these Terms and Conditions, created risk for Galleried or other users, or used the Services unlawfully or abusively.

If your account is suspended or terminated, you may lose access to your account, User Content, saved collectibles, collections, memories, valuations, and related information. Data deletion and retention are governed by our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive, including intellectual property, User Content licenses needed for prior operation of the Services, disclaimers, limitations of liability, indemnification, governing law, and dispute-related provisions.

Copyright and Intellectual Property Complaints

If you believe content available through the Services infringes your copyright or other intellectual property rights, contact us at legal@galleried.co with enough information for us to review the claim, including the content at issue, the rights you claim, and your contact information.

Disclaimer of Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Galleried disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and uninterrupted or error-free operation.

Limitation of Liability

To the fullest extent permitted by law, Galleried will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, loss of collectibles, changes in market value, or decisions made in reliance on the Services, even if we have been advised of the possibility of such damages.

Indemnification

You agree to defend, indemnify, and hold harmless Galleried and our officers, directors, employees, contractors, service providers, and agents from and against claims, damages, losses, liabilities, costs, and expenses arising from your use of the Services, your User Content, your violation of these Terms and Conditions, or your violation of any law or third-party right.

Privacy Policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you acknowledge that our Privacy Policy describes how we collect, use, disclose, and protect information.

Governing Law

These Terms and Conditions and your use of the Services are governed by and construed in accordance with the laws of the State of Washington without regard to its conflict of law principles.
